Bylaws of the Cuesta Crankers Club


ARTICLE I
NAME

The name of this organization shall be Cuesta Crankers Chapter, Model A Ford Club of America, and its principal office shall be in San Luis Obispo County.

ARTICLE II
PURPOSES

The purpose of this club shall be:

SECTION 1.
To serve as a medium of exchange of ideas, information, and parts for admirers of the Model A Ford car, and to aid them in their efforts to restore and preserve the car in its original likeness. This club will exercise general supervision, direction, control, and assistance to its members in their restoration process.

SECTION 2.
To unite in a central organization all owners of Model A Fords who are interested in restoring and maintaining the automobile in a manner to attract prestige and respect within the community, and it shall further be the purpose of this club to help these owners become better acquainted, encourage and maintain among its members the spirit of good fellowship sociality and fairplay through sponsored activities including the use of the Model A Ford and family participation.

SECTION 3.
The club shall be non-commercial, non-sectarian, and non-partisan.

ARTICLE III
MEMBERS

SECTION 1.
Membership in Model A Club of America National Club is a pre-requisite to membership in Cuesta Crankers.

SECTION 2.
Requirements for membership in Cuesta Crankers shall not insist upon the actual possession of a Model A Ford. Merely an interest in the objectives of the club, and a desire to take an active part in the club activities shall be the primary requirement for membership. An applicant for membership shall be of good character as to be of benefit to the club and its functions and objectives, and must display sincerity of purpose.

*SECTION 3.
There shall be two types of membership: single membership, and family membership. Single membership is entitled to one vote, and family membership is entitled to two votes, providing that both members are present to vote.

***SECTION 4.
Dues are payable in advance of the 1st. day in January each year. Single or family dues are $15.00 per year.

SECTION 5.
New members joining in November or December each year and paying their dues, shall be paid up for the following year.

ARTICLE IV
MEETING OF MEMBERS

*SECTION 1. ANNUAL MEETING.
The annual meeting of the membership shall be held during December. The purpose of said Annual meeting shall be for the purpose of installing the officers for the ensuing year who have been elected at the regular meeting in November.

SECTION 2. REGULAR MEETING.
Regular meetings of the members shall be held monthly for the purpose of transacting business.

SECTION 3. SPECIAL MEETING.
Special meetings of the members may be called either by the President, another officer, or not less than one-tenth of the members.

SECTION 4. NOTICE OF SPECIAL MEETING.
A written or printed notice stating the place, day and hour of any special meeting shall be delivered to each member not less than five, nor more than forty days before the date of such meeting, and the purpose for which the special meeting is called shall be stated in the notice.

*SECTION 5. QUORUM.
The members holding one-tenth of the votes which may be cast at any meeting shall constitute a quorum at such meeting. If a quorum is not present at any regular meeting, a majority of those present may adjourn the meeting until the next regular meeting.

ARTICLE V
OFFICERS

**SECTlON 1. OFFICERS.
The officers of the club shall be a President, Vice President, Secretary, Treasurer, Sgt. At Arms, Activities Director, Asst. Activities Director, & Editor.

*SECTION 2. ELECTION. TERM OF OFFICE.
At the regular meeting of September, the President shall appoint a chairperson for a nominating committee. Only members who have given verbal assurance of serving are eligible for election. New officers for the ensuing year shall be elected by secret, written ballot during the November meeting. The chairperson for the nominating committee may select anyone or as many as he/she chooses from the membership to help select a slate of officers who have given their verbal approval to serve. During the regular meeting, that person shall place his slate of officers in nomination. The President shall open the meeting for additional nominations from the floor after reminding the members that no nominations are acceptable without prior verbal approval.

During the month of October, but well before the November meeting, the Editor shall see to the mailing of a written ballot to each of the voting members.

During the November meeting, ballots shall be cast into a container furnished for that purpose. **Absentee ballots may be mailed in or given to a board member to be cast.

During the regular meeting of November, prior to the Annual Meeting, the votes shall be counted, and winning candidates notified to be present at the Annual Meeting for installation.

SECTION 3. PRESIDENT.
The President shall be the principal executive officer of the club, and shall in general supervise and control all of the business and affairs of the club. He/she shall preside at all meetings of the members, and shall perform all duties incident to the office of President.

**SECTION 4. VICE-PRESIDENT.
In the absence of the President, the Vice-President shall perform the duties of the President. The position is one of liason between the chapter officers and the national officers. The V. P. will represent the chapter when questions and comments arise which the chapter wishes to bring to the attention of the national board. The V.P. will be responsible for programs at all General Meetings.

SECTION 5. SECRETARY.
The Secretary shall keep minutes of the meetings of the members, see that all notices are duly given in accordance with the provisions of these bylaws, keep a register of the post office address of each member, and in general perform all duties incident to the office of Secretary, shall also be responsible for all club property.

SECTION 6. TREASURER.
The Treasurer Shall have charge and custody and be responsible for all funds of the club.

SECTION 7. SGT. AT ARMS.
The Sgt. At Arms duties are to arrange for a meeting place to be ready for meeting, and such other duties assigned by the President.

SECTION 8. ACTIVITIES DIRECTOR.
The Activities Director duties are to arrange for and direct monthly tours and other activities of the club.

SECTION 9. ASSISTANT ACTIVITIES DIRECTOR.
Duties will be to assist the Activities Director, and to serve in his absence. Also, keep participation point system.

**SECTION 10. EDITOR
The Editor will publish the Quips monthly; prepare and publish an annual roster for distribution to the membership and the national board; and submit for publication in the Restorer such articles and pictures suggested by the membership.

SECTION 11. PAST PRESIDENT.
Duties shall be to act as adviser to the board.

SECTION 12. REMOVAL CLAUSE.
If any officer misses three meetings in succession without cause, he/she will be removed from office, and a new officer shall be appointed by the Board to fill out his term.

ARTICLE VI
AMENDMENTS TO BYLAWS

These bylaws may be altered, amended or repealed and new bylaws may be adopted by a two-thirds majority of the members present at any meeting of the members, provided at least five days written notice is given of intention to alter, amend or repeal or to adopt new bylaws at such meeting.

These bylaws adopted by a unanimous vote of the club membership on Feb. 6, 1978.
